MANHATTAN PHARMACEUTICALS TO MERGE WITH TARPAN THERAPEUTICS

Manhattan Pharmaceuticals has signed a letter of intent to merge with Tarpan Therapeutics, a privately held, New York-based pharmaceutical company developing dermatological therapeutics, in an all stock transaction. Upon consummation of the transaction, Tarpan shareholders will own approximately 20 percent of the shares of Manhattan on a fully-diluted basis.
